1. Overview

These Terms of Service ('Terms') govern your access to and use of Voki (the 'App' or 'Service'), including any content, features, and services offered through the App. By downloading, installing, accessing, or using Voki, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use Voki.

Voki is a voice and content sharing application that allows users to create, share, and interact with audio content and related media, follow other users, and participate in the community.

• You are responsible for maintaining the confidentiality of your account and login credentials.
• You agree that you are solely responsible for all activities that occur under your account.
• You must not share your account or impersonate any other person or entity.
• You agree to notify us promptly if you suspect any unauthorized use of your account or any other security breach.
• We reserve the right to refuse service, suspend, or terminate accounts at our reasonable discretion.

Your use of Voki is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

• By using Voki, you acknowledge that you have read and understood the Privacy Policy.
• If you do not agree with the Privacy Policy, you must stop using Voki.

5. Acceptable Use and Content Rules

You agree to use Voki in a lawful, respectful, and responsible manner. In particular, you agree that you will not:

• Post, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Share content that involves sexual exploitation, sexually explicit material, or content inappropriate for an adult community.
• Promote violence, self-harm, terrorism, or hate toward any individual or group.
• Post content that infringes or violates the intellectual property, privacy, or other rights of any third party.
• Engage in fraudulent, deceptive, or misleading behavior, including scams, phishing, or impersonation.
• Upload malware, viruses, or other malicious code, or attempt to interfere with the normal operation of the App.
• Use Voki for unauthorized commercial purposes, such as spam or unsolicited advertisements, unless explicitly permitted.

We reserve the right to remove any content and take appropriate enforcement measures if we believe that these rules are violated.

6. User-Generated Content and License

6.1 Your Responsibilities

• You retain ownership of the content you upload, post, or share on Voki.
• You are solely responsible for your content and any consequences arising from publishing it.
• You represent and warrant that you have all necessary rights to upload and share your content and that your content does not violate any law or third-party rights.

6.2 License to Voki

By uploading or sharing content on Voki, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Host, store, reproduce, display, and distribute your content as necessary to operate and provide the Service.
• Use your content for internal analysis, moderation, and improvement of the Service.

This license continues for as long as your content is available on Voki. When you delete content, we will remove it from public view within a reasonable time, but some copies may be retained in backups or where required by law.

7. Content Moderation and Enforcement

To maintain a safe and healthy community, we may:

• Review content using automated systems and human moderators.
• Remove or restrict access to content that we believe violates these Terms or applicable laws.
• Suspend or terminate accounts for serious or repeated violations.
• Report illegal activities or content to law enforcement when required.

Voki may contain links to third-party websites or services that are not controlled by us. We are not responsible for the content, policies, or practices of third-party websites or services. Your use of such third-party services is at your own risk and subject to their terms and policies.

9. Service Availability and Changes

• We may update, modify, or discontinue the App or any feature at any time, with or without prior notice.
• We do not guarantee that the Service will be available at all times or without interruption.
• We may perform maintenance or updates that temporarily affect the availability of the Service.

10. Termination

10.1 Termination by You

• You may stop using Voki at any time by uninstalling the App or requesting account deletion, where available.

10.2 Termination by Us

• We may suspend or terminate your access to Voki at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or caused risk or possible legal exposure to us or others.

10.3 Effects of Termination

• Upon termination, your right to access and use the Service will immediately cease.
• Certain data or content may be deleted or retained in accordance with our Privacy Policy and legal obligations.

11. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

• We do not guarantee that the Service will be error-free, secure, or uninterrupted.
• We do not endorse or guarantee the accuracy or reliability of any user-generated content.
• Your use of the Service is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law, Voki and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service.

You agree to indemnify and hold harmless Voki and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

• Your use or misuse of the Service.
• Your content or activities in the App.
• Your violation of these Terms or any applicable law.
• Your violation of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws applicable in the jurisdiction where Voki is operated, subject to any mandatory consumer protection laws that apply in your place of residence.

• In case of any dispute, you agree to first contact us at admin@vokicloud.com to attempt an informal resolution.
• If a dispute cannot be resolved amicably, it shall be submitted to the competent courts, unless applicable law requires another form of dispute resolution.

15. Changes to These Terms

We may update or modify these Terms from time to time. When we make material changes, we will update the 'Last Updated' date at the top of this document and may notify you via in-app message or other reasonable means.

Your continued use of Voki after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
